Amalgamation

An amalgamation is the combining of two or more Hong Kong companies into a single surviving company, without a court-ordered scheme in the case of a group's wholly owned members.

Under the Companies Ordinance, wholly owned group companies can use a streamlined court-free amalgamation. The property, rights, and liabilities of the amalgamating companies pass to the amalgamated (surviving) company, and the non-surviving companies are removed from the register with a status of Amalgamated. This is distinct from an acquisition, where the acquired company continues to exist as a subsidiary.
