Charges (Register of Charges)
A charge is a security interest registered against a company's assets — typically in favour of a lender — that must be recorded in the company's register of charges and with the Hong Kong Companies Registry.
Under Part 8 of the Companies Ordinance, certain charges created by a Hong Kong company — including mortgages, floating charges, and charges on book debts — must be registered within 1 month of creation. A company's register of charges is publicly searchable; this is often used in due diligence to understand a company's borrowing position and any secured creditors.
